Payment & Client Responsibility Policy for Social Media Management

This policy establishes a strictly calendar-based financial commitment, emphasizing the client’s responsibility to utilize reserved time and talent. Fees are paid for the reservation of capacity, not for deliverables achieved.


I. Non-Refundable Capacity Reservation

The core principle is Capacity Reservation (Time-Based Billing).

  • Fees are for Reserved Time:
    All payments cover the allocation of agency resources (editors, strategists, shoot crews) for the specified month.

  • No “Pause” or Roll-Over:
    The agency’s team cannot be “paused” due to client business.

  • Capacity Forfeiture:
    Unused capacity, including shoot days, edit hours, or sessions, will:

    • Not roll over into the next month (“No Rollovers”)

    • Expire on the last day of the service month

    • Not be refunded or credited for any reason

  • Future Work Incurs New Fees:
    To complete unfinished work or book expired services (e.g., a missed January shoot in February), a new agreement and new fees must be paid.


II. Strict Payment Schedule

The payment timeline is fixed to the calendar, irrespective of project progress or client delays.

III. Critical Client Responsibilities (“Client Delay” Clause)

The client is solely responsible for avoiding delays that lead to missed deadlines and forfeiture of capacity.

The agency is released from liability for missed deadlines and unfulfilled deliverables caused by:

  • Delayed Assets: Failure to provide products/samples on time

  • Shoot Scheduling: Failure to schedule a shoot within the windows provided

  • Feedback: Delayed approval of concepts (taking more than 48 hours)

  • Cancellations: Last-minute cancellation of scheduled shoots (less than 48 hours’ notice)

In the Event of a Client Delay:

  • The Agency is released from any liability regarding missed deadlines

  • The remaining 20% balance remains due on the 25th

  • Any resulting unfinished work expires (forfeited capacity)
